주식회사와 이사 사이에 고용계약이 체결됐다.

An employment contract was signed between the corporation and the director.

이 고용계약에서 별도의 약정이 추가되었다.

A separate agreement was added to this employment contract.

즉 이사가 그 의사에 반하여 이사직에서 해임될 경우를 위한 내용이다.

In other words, this is for the case where the director is dismissed from the position of the director against his intention.

그 내용에 의해 이사는 퇴직위로금과는 별도로 일정한 금액의 해직보상금을 지급받기로 약정하였다.

According to the contents, the directors agreed to receive a certain amount of compensation for dismissal in addition to the retirement benefit.

이 때 그 해직보상금은 형식상으로는 보수에 해당하지 않는다.

In this case, the compensation for dismissal does not constitute compensation formally.

그렇다 하여도 보수와 함께 같은 고용계약의 내용에 포함되어 있다.

Even so, it is included in the contents of the same employment contract along with the compensation.

따라서 그 고용계약과 관련하여 지급되는 것이다.

뿐만 아니라, 의사에 반하여 해임된 이사에 대하여 정당한 이유의 유무와 관계없이 지급하도록 되어 있다.

In addition, it is to be paid to directors dismissed against their intentions regardless of the existence of justifiable reasons.

즉 이사에게 유리하도록 회사에 추가적인 의무를 부과하는 것이다.

In other words, it imposes additional obligations on the company in favor of the directors.

(comment) 보수에 해당하지 않는다는 이유로 주주총회 결의를 요하지 않는다고 한다면, 이사들이 고용계약을 체결하는 과정에서 개인적인 이득을 취할 목적으로 과다한 해직보상금을 약정하는 것을 막을 수 없게 되어, 이사들의 고용계약과 관련하여 그 사익 도모의 폐해를 방지하여 회사와 주주의 이익을 보호하고자 하는 상법의 입법 취지가 잠탈 된다.

나아가 해직보상금액이 특히 거액일 경우 회사의 자유로운 이사해임권 행사를 저해하는 기능을 하게 된다.

따라서 이사선임기관인 주주총회의 권한을 사실상 제한함으로써 회사법이 규정하는 주주총회의 기능이 심히 왜곡되는 부당한 결과가 초래된다.

그러므로 이사의 보수에 관한 상법규정을 준용 내지 유추 적용하여 이사는 해직보상금에 관하여도 정관에서 그 액을 정하지 않는 한 주주총회 결의가 있어야만 회사에 대하여 이를 청구할 수 있다.
