어느 법인의 정관에 이사의 해임사유에 관한 규정이 있다.

The articles of association of certain corporations have provisions on the reasons 

for dismissal of directors.

그런데 그 법인 이사의 중대한 의무위반이 있었다.

However, there was a serious violation of the corporate director's obligations.

그렇다면 법인은 정관에서 정하지 아니한 사유로도 이사를 해임할 수 있다.

If so, a corporation may dismiss a director for reasons not specified in the articles 

of incorporation.

민법상 이사의 임기를 제한하는 규정은 없다.

There is no civil law limiting the term of office for directors.

사원총회의 결의는 민법 또는 정관에 다른 규정이 없으면 사원 과반수의 출석과 출석사원의 결의권의 과반수로써 한다.

The resolution of the general meeting of the members shall be made with a majority 

of the members present and the majority of the voting rights of the members present 

unless otherwise provided by the Civil Act or the articles of association.

이사는 정관 또는 총회의 결의로 금지하지 아니한 사항에 한하여 타인으로 하여금 특정한 행위를 대리하게 할 수 있다.

Directors may make other persons act on behalf of others only for matters not

 prohibited by the articles of incorporation or resolution of the general meeting.

임시이사 선임의 요건인 ‘이사가 없거나 결원이 있는 경우’란 이사가 전혀 없거나 정관에서 정한 인원수에 부족이 있는 경우를 말한다.

'If there is no director or vacancy', which is a requirement for the appointment of 

temporary directors, refers to cases where there is no director at all or there is a 

shortage in the number of persons determined by the articles of association.
