甲 주식회사의 이사 乙은 법령을 위반했다.

The 甲 company suffered damages by the act of director 乙 who violated the laws.

법령을 위반한 이사 乙의 행위로 甲 회사는 손해를 입었다.

Accordingly, the 甲 company filed a lawsuit for compensation for damages 

against 乙, because it suffered damage.

이에 甲 회사는 손해를 입었음을 이유로 乙을 상대로 손해배상청구의 소를 제기하였다.

While performing the business of the 甲 company, 乙 made a bribe with

 company funds.

乙이 甲 회사의 업무를 집행하면서 회사 자금으로 뇌물을 공여하였다.

This is an act that violates the laws stipulated in Article 399 of the Commercial Act.

이는 상법 제399조에서 정한 법령에 위반한 행위에 해당한다.

In this case, the court may make a decision to recommend mediation for

 an equitable settlement of the case.

이 소송에서 법원은 사건의 공평한 해결을 위하여 화해권고결정을 할 수 있다.

This decision can be made ex officio without the request of the parties.

이 결정은 당사자의 신청이 없어도 직권으로 가능하다.

If this lawsuit is terminated with a decision to recommend mediation, the 

decision to recommend mediation is subject to the substrate power.

이 소송이 화해권고결정으로 종료된 경우, 화해권고결정의 기판력이 미친다.

This substrate force is generated based on the determination of the decision.

이 기판력은 그 결정의 확정시를 기준으로 발생한다.
